These Terms of Service (“Terms”) govern your access to and use of ricwell.com and any services offered by Ricwell (“we”, “us”, or “our”). By visiting our website, placing an order, or engaging our services, you agree to be bound by these Terms.
Please read them carefully. If you do not agree with any part of these Terms, please do not use our website or services.

1. WHO CAN USE OUR SERVICES
Our website and services are intended for individuals who are at least 18 years of age, or who are legally authorised to enter into contracts on behalf of a business. By using ricwell.com, you confirm that you meet this requirement.
We serve clients across India and internationally. International clients are responsible for ensuring that their use of our services complies with the laws of their own country.
2. OUR SERVICES
Ricwell provides end-to-end private label brand building services, including but not limited to:
- Product sourcing and selection (tea, coffee, mountain honey)
- Brand identity and packaging design
- Regulatory compliance and registration assistance
- E-commerce website development
- Online marketing strategy and setup
- Third-party logistics (3PL), warehousing, and order fulfilment
- Dropshipping services
The scope, deliverables, timelines, and pricing for any specific engagement are confirmed in writing (via email or a signed service agreement) before work begins. These Terms apply to all of the above, alongside any project-specific agreement.
We reserve the right to modify, suspend, or discontinue any service at any time, with reasonable prior notice where possible.
3. ORDERS AND PRODUCT PURCHASES
3.1 Placing an Order
When you place an order on ricwell.com, you are making an offer to purchase. An order is confirmed only when you receive a written order confirmation from us and payment has been successfully processed.
We reserve the right to refuse or cancel any order at our discretion — for example, if a product is out of stock, if a pricing error has occurred, or if payment cannot be verified.
3.2 Product Descriptions
We make every effort to ensure that product descriptions, images, and specifications on our website are accurate. However, natural products such as Darjeeling tea, specialty coffee, and mountain honey may vary slightly in colour, texture, aroma, and flavour from batch to batch. These variations are inherent to origin-sourced, natural products and do not constitute a defect.
3.3 Pricing
All prices are listed in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise. Prices are subject to change without notice, but changes will not affect orders already confirmed.
4. PAYMENT
Payment is processed through Zoho Payments, a PCI-DSS compliant payment gateway. We accept UPI, credit and debit cards, net banking, and mobile wallets.
For product orders, full payment is required at the time of checkout. For service engagements, a 50% advance is required to initiate the project, with the balance due before final delivery.
Ricwell does not store any payment card information on its servers. All payment data is handled by Zoho Payments under their privacy and security terms.

5. DELIVERY AND FULFILMENT
We aim to dispatch orders within the timelines stated on our product pages or in your order confirmation. Delivery timelines are estimates and may be affected by factors outside our control, including courier delays, weather, or public holidays.
Ricwell is not liable for delays caused by the logistics provider once the shipment has been handed over. Tracking information will be shared with you upon dispatch.
For international shipments, the buyer is responsible for any customs duties, import taxes, or clearance fees applicable in their country.
6. RETURNS, REFUNDS, AND CANCELLATIONS
Our Return & Replacement Policy, Refund Policy, and Cancellation Policy are each published separately on ricwell.com and are incorporated into these Terms by reference. Please review them before making a purchase or engaging a service.
In summary:
- Returns are accepted within 7 days of delivery for eligible reasons (damaged, wrong product, expired).
- Refunds are processed within 2 business days of approval and reflected in your account within 3–7 business days depending on your payment method.
- Orders may be cancelled before dispatch; service engagements may be cancelled before work begins for a full refund.
7. SERVICE ENGAGEMENTS — SPECIFIC TERMS
7.1 Scope and Deliverables
The scope of any brand-building or service engagement is defined in the written brief or agreement confirmed between Ricwell and the client. Work outside the agreed scope may be quoted separately.
7.2 Client Responsibilities
You are responsible for providing accurate information, timely feedback, and any required approvals. Delays caused by late responses or incomplete information from your side may affect delivery timelines, and Ricwell will not be held liable for such delays.
7.3 Regulatory Compliance
Ricwell provides assistance with license and registration processes (Trade License, FSSAI, GST) as part of our Business Essentials service. However, the submission of applications to government authorities and the legal compliance of your business remain your responsibility. Ricwell provides guidance and documentation support — we are not a legal or compliance firm.
7.4 Intellectual Property
All brand assets developed by Ricwell for your engagement (logos, packaging designs, website, content) become your property upon full and final payment. Until that point, all created materials remain the intellectual property of Ricwell.
Ricwell retains the right to use completed projects in our portfolio or case studies unless the client requests confidentiality in writing before project completion.
7.5 Confidentiality
Ricwell treats all client information, business ideas, and project details as confidential. We do not share client information with third parties except as required to deliver the agreed services (e.g., packaging printers, logistics providers). Clients are similarly expected to keep Ricwell’s supplier relationships, pricing, and internal processes confidential.
8. 3PL AND DROPSHIPPING SERVICES — SPECIFIC TERMS
Clients using Ricwell’s 3PL or dropshipping services agree to the following:
- Inventory stored at Ricwell’s facility is insured against standard risks. Ricwell is not liable for losses due to force majeure events.
- Accurate product information and SKU data must be provided by the client. Ricwell is not liable for fulfilment errors caused by incorrect information provided.
- A minimum notice period of 30 days is required to terminate a 3PL agreement. Outstanding charges must be settled before inventory is released.
- Ricwell will handle returns and customer complaints as instructed by the client. The client remains responsible for their customers’ experience and any consumer protection obligations.
9. PROHIBITED USE
You agree not to use ricwell.com or our services to:
- Engage in any unlawful activity or violate any applicable law or regulation.
- Misrepresent your identity, business, or intentions.
- Attempt to gain unauthorised access to any part of our website or systems.
- Introduce viruses, malicious code, or disruptive software.
- Reproduce, copy, or distribute any content from ricwell.com without written permission from Ricwell.
- Use our platform for any purpose that is fraudulent, harmful, or deceptive.
Violation of these conditions may result in immediate termination of your account or engagement without refund.
10. INTELLECTUAL PROPERTY — WEBSITE CONTENT
All content on ricwell.com — including text, images, logos, graphics, and brand materials — is the intellectual property of Ricwell unless otherwise stated.
You may not reproduce, republish, distribute, or commercially exploit any content from this website without prior written consent from Ricwell. Personal, non- commercial use of website content is permitted provided attribution is maintained.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Ricwell shall not be liable for:
- Any indirect, incidental, or consequential loss arising from the use of our website or services.
- Loss of revenue, profit, or business opportunity resulting from service delays or interruptions.
- Damage to your brand, reputation, or business resulting from matters outside Ricwell’s reasonable control.
- Losses arising from third-party services, platforms, or logistics providers.
Our total liability in connection with any single claim shall not exceed the amount paid by you for the specific order or service to which the claim relates.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.
12. DISCLAIMER OF WARRANTIES
Ricwell’s website and services are provided on an “as is” and “as available” basis. While we strive to maintain accurate information and reliable service, we do not warrant that:
- The website will be uninterrupted, error-free, or free from viruses.
- Product information will always be current and complete.
- Any particular business outcome will result from using our services.
13. THIRD-PARTY LINKS AND PLATFORMS
Our website may contain links to third-party websites, platforms, or services. These links are provided for convenience only. Ricwell does not endorse or accept responsibility for the content, privacy practices, or terms of any third-party site.
Your interactions with third-party platforms (including payment providers, courier services, or social media) are governed by those platforms’ own terms.
14. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of India. Any disputes arising from or related to these Terms or your use of Ricwell’s services shall be subject to the exclusive jurisdiction of the courts of Darjeeling, West Bengal, India.
